What is an independent financial adviser (IFA)?

When a listed company undertakes a transaction where some shareholders or directors have an interest, such as an interested person transaction, a general offer or a delisting, SGX rules require an independent financial adviser to give an opinion to the independent directors on whether the terms are fair and reasonable. SAC Capital has acted as IFA on a large number of such transactions.
