We advise our clients on equity fund raising which includes IPOs. Our work involves advising on, amongst others, restructuring exercises and compliance requirements of the Singapore Exchange and other regulatory authorities for the purpose of equity fund raising. We also advise on Reverse Takeovers and secondary listings.

We seek to understand our client’s long term business plan and strategy so as to provide the appropriate advice to tailor to their needs and requirements.

Listing on a stock exchange is a professional and complex business. When a company has gone public in Singapore, it must observe the Listing Rules and IPO procedures of the Singapore Exchange. Enlisting a professional who is familiar with the Singapore market and the listing procedures can help smoothen the overall planning and execution. SAC Capital is experienced in the IPO process and aims to guide and hand-hold companies throughout their IPO process.

Questions we are asked

How long does a Catalist listing take?

Typically several months from appointment of the sponsor to listing day, depending on how ready the company’s accounts, structure and governance are. Because SGX does not review Catalist offer documents itself, timing rests largely on the sponsor’s due diligence and the company’s preparation.

What does a company need before approaching a sponsor?

Audited financial statements, a clear group structure, a board with independent directors, and a business plan that explains why it wants public capital. The sponsor will look at management’s track record, related-party dealings, and whether the business can meet continuing disclosure obligations.
